Products and Wholesale Packs<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Products may be sold as:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Individual wholesale packs;<\/li>\n\n\n\n<li>Assorted-size packs;<\/li>\n\n\n\n<li>Assorted-colour packs;<\/li>\n\n\n\n<li>Predefined product sets;<\/li>\n\n\n\n<li>Cartons or other stated wholesale units.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The exact number of pieces, sizes, colours, and combinations included in a pack will be displayed on the applicable product page or order quotation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Pack composition may vary by product. Information applying to one product or collection must not be assumed to apply to every product.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A pack cannot normally be divided or changed unless the product page or a written quotation expressly allows it.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">5. Product Information<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We make reasonable efforts to display accurate:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Product descriptions;<\/li>\n\n\n\n<li>Colours;<\/li>\n\n\n\n<li>Sizes;<\/li>\n\n\n\n<li>Materials;<\/li>\n\n\n\n<li>Pack configurations;<\/li>\n\n\n\n<li>Photographs and videos;<\/li>\n\n\n\n<li>Prices and availability.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">However:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Screen settings and lighting may affect colour appearance;<\/li>\n\n\n\n<li>Measurements may have reasonable production tolerances;<\/li>\n\n\n\n<li>Minor differences may occur between production batches;<\/li>\n\n\n\n<li>Handmade, washed, dyed, printed, embroidered, or embellished products may have normal variations;<\/li>\n\n\n\n<li>Packaging may change without materially affecting the product.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Such normal commercial or manufacturing variations are not automatically considered defects.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If there is an obvious pricing, description, stock, or technical error, we may correct it before accepting the order. A price change will not affect an order already formally accepted unless the change is required to correct an obvious error or results from information changed by the customer.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">7. VAT and Tax Information<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">VAT treatment depends on factors including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The seller\u2019s place of establishment;<\/li>\n\n\n\n<li>The customer\u2019s country;<\/li>\n\n\n\n<li>The delivery destination;<\/li>\n\n\n\n<li>Whether the customer has a valid VAT number;<\/li>\n\n\n\n<li>The applicable transaction and tax rules.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Customers must provide complete and accurate company and VAT information.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where a valid VAT number is required, we may verify it before confirming the order. If the information is invalid, incomplete, or cannot be verified, applicable VAT may be added or the order may be placed on hold.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The customer is responsible for its own accounting, VAT reporting, resale, and destination-country tax obligations.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">8. Submitting an Order<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Products placed in the cart are not reserved.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Submitting an order means that the customer is requesting to purchase the selected goods. An automated order-received email only confirms that we have received the request; it does not necessarily mean that the order has been accepted.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We may review:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Product availability;<\/li>\n\n\n\n<li>Pack and quantity requirements;<\/li>\n\n\n\n<li>Customer account status;<\/li>\n\n\n\n<li>Billing and delivery information;<\/li>\n\n\n\n<li>VAT information;<\/li>\n\n\n\n<li>Shipping availability and cost;<\/li>\n\n\n\n<li>Payment requirements;<\/li>\n\n\n\n<li>Suspected fraud or account misuse.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We may accept, request changes to, or reject an order before payment and final confirmation.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">9. Shipping Quotation and Customer Approval<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Shipping charges may be calculated manually after the order request is submitted.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where a shipping quotation is required:<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li>The customer submits the wholesale order request.<\/li>\n\n\n\n<li>We review the products, quantities, packaging, destination, and available shipping method.<\/li>\n\n\n\n<li>We add the shipping charge and any clearly identified applicable costs.<\/li>\n\n\n\n<li>We send or display the revised order total for approval.<\/li>\n\n\n\n<li>The customer approves or declines the quotation.<\/li>\n\n\n\n<li>Payment instructions are issued only after valid approval where applicable.<\/li>\n<\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">The customer must check the revised:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Product quantities;<\/li>\n\n\n\n<li>Pack configurations;<\/li>\n\n\n\n<li>Delivery address;<\/li>\n\n\n\n<li>Shipping method;<\/li>\n\n\n\n<li>Shipping cost;<\/li>\n\n\n\n<li>Taxes or additional charges shown;<\/li>\n\n\n\n<li>Final payable total.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Approval of the quotation confirms acceptance of the revised order total.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If the products, address, quantities, shipping charge, or order total change after approval, a new approval may be required.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Quotations may have an expiry date. Prices and availability are not guaranteed after expiry.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">10. Contract Formation<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A binding sales contract is formed only when:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>We confirm that the order has been accepted; and<\/li>\n\n\n\n<li>The required payment or agreed payment condition has been completed.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">No contract is formed merely because:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Products were added to the cart;<\/li>\n\n\n\n<li>An account was created;<\/li>\n\n\n\n<li>An order request was submitted;<\/li>\n\n\n\n<li>An automated email was generated;<\/li>\n\n\n\n<li>A shipping quotation was prepared.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The final contract consists of:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The accepted order or quotation;<\/li>\n\n\n\n<li>These Terms and Conditions;<\/li>\n\n\n\n<li>The applicable Shipping Policy;<\/li>\n\n\n\n<li>The applicable Payment Policy;<\/li>\n\n\n\n<li>The Returns &amp; Claims Policy;<\/li>\n\n\n\n<li>Any written customer-specific terms accepted by us.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">If there is a conflict, a written customer-specific quotation or agreement accepted by both parties takes priority for that particular order.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">11. Payment<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Available payment methods are shown during checkout, in the approved quotation, or in the Payment Policy.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where payment is made by bank transfer:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The customer must use the correct order number or payment reference;<\/li>\n\n\n\n<li>Bank fees charged to the customer are the customer\u2019s responsibility;<\/li>\n\n\n\n<li>The full invoiced amount must reach the designated account;<\/li>\n\n\n\n<li>Payment is not considered complete until cleared funds are received;<\/li>\n\n\n\n<li>Production, allocation, packing, or dispatch may not begin until payment is confirmed.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The customer must not transfer funds to bank details received from an unverified or suspicious source. If payment instructions appear unusual, the customer should verify them directly through <a href=\"mailto:wholesale@ferriferrucci.com\">wholesale@ferriferrucci.com<\/a> before paying.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We are not responsible for payment sent to incorrect account details where those details were not issued through our authorised system or confirmed communication channel.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">12. Non-Payment and Payment Delays<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">If payment is not received within the stated period, we may:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Place the order on hold;<\/li>\n\n\n\n<li>Release reserved stock;<\/li>\n\n\n\n<li>Recalculate product or shipping prices;<\/li>\n\n\n\n<li>Cancel the order;<\/li>\n\n\n\n<li>Require a new quotation;<\/li>\n\n\n\n<li>Suspend the customer account.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The customer must contact us promptly if payment has been sent but has not been matched to the order.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">13. Stock and Availability<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Stock shown on the website may change before an order is accepted.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If an item becomes unavailable, we may offer:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>A revised quantity;<\/li>\n\n\n\n<li>A replacement product;<\/li>\n\n\n\n<li>A later dispatch date;<\/li>\n\n\n\n<li>A partial order;<\/li>\n\n\n\n<li>A refund for the unavailable item.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We will not substitute a materially different product without the customer\u2019s approval.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">14. Shipping and Delivery<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Shipping arrangements are governed by our Shipping Policy and the accepted quotation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Delivery dates are estimates unless expressly confirmed as guaranteed in writing.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We are not responsible for delays caused by circumstances outside our reasonable control, including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Carrier delays;<\/li>\n\n\n\n<li>Customs inspections;<\/li>\n\n\n\n<li>Border or transport disruption;<\/li>\n\n\n\n<li>Incorrect delivery information;<\/li>\n\n\n\n<li>Recipient unavailability;<\/li>\n\n\n\n<li>Weather or natural events;<\/li>\n\n\n\n<li>Strikes or industrial action;<\/li>\n\n\n\n<li>Government measures;<\/li>\n\n\n\n<li>Security incidents;<\/li>\n\n\n\n<li>Force majeure events.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The customer must ensure that the delivery address and contact information are accurate and that someone authorised is available to receive the shipment.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Additional costs resulting from an incorrect address, refused delivery, repeated delivery, storage, or return to sender may be charged to the customer.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">16. Delivery Terms, Duties, and Import Charges<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The delivery term or Incoterm applicable to an order will be stated in the accepted quotation, invoice, or shipping confirmation where relevant.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Unless expressly stated otherwise in writing:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The customer is responsible for destination-country import duties, customs charges, local taxes, clearance fees, and similar charges;<\/li>\n\n\n\n<li>The customer must provide documents reasonably required for delivery or customs processing;<\/li>\n\n\n\n<li>Charges imposed after dispatch are not included merely because a shipping charge was paid.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">For orders dispatched and delivered within the European Union, the applicable VAT and intra-EU supply rules will be determined from the transaction details and the customer\u2019s verified VAT status.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The accepted order documentation takes priority over this general section where it expressly specifies a different allocation of costs or responsibilities.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">17. Transfer of Risk and Ownership<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Risk of loss or damage passes according to the delivery term stated in the accepted quotation or order documentation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If no specific delivery term is stated, risk passes when the goods are delivered to the customer\u2019s stated delivery address or authorised recipient, subject to mandatory applicable law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Legal ownership of the goods remains with us until full cleared payment has been received for the relevant order, to the extent permitted by applicable law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Transfer of risk does not remove the customer\u2019s obligation to inspect the shipment and submit claims within the required period.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">18. Inspection on Delivery<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The customer must inspect the shipment promptly after delivery.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Before accepting a visibly damaged shipment, the customer should, where possible:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Photograph the external packaging;<\/li>\n\n\n\n<li>Record the damage with the carrier;<\/li>\n\n\n\n<li>Keep the packaging and shipping labels;<\/li>\n\n\n\n<li>Obtain a damage notation or delivery report.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The customer should verify:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Number of cartons or parcels;<\/li>\n\n\n\n<li>Product references;<\/li>\n\n\n\n<li>Pack quantities;<\/li>\n\n\n\n<li>Sizes and colours;<\/li>\n\n\n\n<li>Visible condition of the goods.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Claims must be submitted in accordance with our Returns &amp; Claims Policy.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">19. Returns, Shortages, Defects, and Claims<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Wholesale purchases are not subject to an automatic consumer change-of-mind return right.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Returns or claims are accepted only in accordance with our Returns &amp; Claims Policy.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Products must not be returned without prior written authorisation. Unauthorised returns may be rejected or returned to the customer at the customer\u2019s expense.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where a claim is approved, the appropriate remedy may include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Replacement;<\/li>\n\n\n\n<li>Credit against a future order;<\/li>\n\n\n\n<li>Partial refund;<\/li>\n\n\n\n<li>Full refund for the affected goods;<\/li>\n\n\n\n<li>Another commercially reasonable solution agreed in writing.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The remedy will be determined according to the nature and extent of the verified issue.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">20. Resale by the Customer<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The customer is responsible for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Compliance with laws applicable to its resale activities;<\/li>\n\n\n\n<li>Product listings and claims made to its customers;<\/li>\n\n\n\n<li>Retail pricing;<\/li>\n\n\n\n<li>Local consumer information and return obligations;<\/li>\n\n\n\n<li>Marketplace rules;<\/li>\n\n\n\n<li>Taxes and business registrations;<\/li>\n\n\n\n<li>Safe and lawful marketing of the products.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The customer must not alter, remove, or misrepresent product labels, origin information, care instructions, safety information, or trademarks.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">21. Intellectual Property<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">All rights in the website and its content remain with us or the applicable rights holder, including rights in:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Ferri Ferrucci names and branding;<\/li>\n\n\n\n<li>Logos;<\/li>\n\n\n\n<li>Product photographs and videos;<\/li>\n\n\n\n<li>Product descriptions;<\/li>\n\n\n\n<li>Graphics and website design;<\/li>\n\n\n\n<li>Catalogues and promotional materials;<\/li>\n\n\n\n<li>Software and databases.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Wholesale purchase of a product does not transfer intellectual-property rights to the customer.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Customers may use authorised product images and descriptions solely to market genuine Ferri Ferrucci products purchased from us, subject to any brand instructions we provide.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Customers may not:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Register our brand, logo, or confusingly similar identifiers;<\/li>\n\n\n\n<li>Present themselves as the brand owner or manufacturer;<\/li>\n\n\n\n<li>Copy the website or catalogue for unrelated products;<\/li>\n\n\n\n<li>Use our materials in a misleading or unlawful manner;<\/li>\n\n\n\n<li>Remove ownership notices;<\/li>\n\n\n\n<li>Sell counterfeit or unauthorised products under our branding.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Permission to use supplied marketing materials may be withdrawn if the customer misuses them or ceases to sell genuine products supplied by us.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">22. Important commercial decisions must be confirmed through the order system or by contacting <a href=\"mailto:wholesale@ferriferrucci.com\">wholesale@ferriferrucci.com<\/a>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The customer must not attempt to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Gain unauthorised access to another customer\u2019s information;<\/li>\n\n\n\n<li>Circumvent website security;<\/li>\n\n\n\n<li>Introduce malware or harmful code;<\/li>\n\n\n\n<li>Scrape or overload the website;<\/li>\n\n\n\n<li>Manipulate the assistant into disclosing private information;<\/li>\n\n\n\n<li>Use the service for illegal, fraudulent, or abusive purposes.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">23. Privacy and Data Protection<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Personal data is processed in accordance with our Privacy Policy.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By using the website, the customer acknowledges that personal data may be processed for account administration, quotations, orders, payments, delivery, security, customer support, and legal compliance.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The customer confirms that it is authorised to provide the personal data of its employees, representatives, recipients, or other business contacts where necessary for an order.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">24.
